第六条以提供技术为投资的合作方应保证其所提供技术不侵犯任何第三人的合法权益。如发生第三人指控合作一方或多方因实施该项技术而侵权的，提供技术方应当：

Article 6 The cooperating party which provides technology as an investment shall ensure the technology it provided fail to infringe upon the legitimate rights and interests of any third party. In the event that a third party alleges a cooperating party or parties have infringed by implementing the technology, the party providing the technology shall to do follows:

第七条 本合同的变更必须由合作各方协商一致，并以书面形式确定。但有下列情形之一的，合作一方或多方可以向其他合作方提出变更合同权利与义务的请求，其他合作方应当在

日内予以答复；逾期未予答复的，视为同意。

Article 7 Any change or amendment to this contract should be agreed upon by the cooperating parties and determined in writing. However, one or more of the cooperating parties may request the other cooperating parties to change or amen the rights and obligations of the contract under any of the following circumstances, and the other cooperating parties shall, within days, give answer and failure to reply within the time limit shall be deemed to have agreed.

第十三条 合作各方确定，按以下标准及方法对合作一方完成的研究开发工作成果进行验收：

Article 13 The cooperating parties determine that the results of the research and development work completed by one of the cooperating parties shall be accepted in accordance with the following criteria and methods.

第十八条：合作一方或多方利用共同投资的研究开发经费所购置与研究开发工作有关的设备、器材、资料等财产，归 方所有。

Article 18: The equipment, devices, materials and other property related to the research and development work which acquired by one or more parties through joint investment in research and development funds shall belong to party.

第十九条：合作各方确定：任何一方或多方违反本合同约定义务，造成其他合作方研究开发工作停滞、延误或失败的，应当按以下约定承担违约责任：

Article 19: The cooperating parties determine that any party or parties which violate their obligations hereunder and cause suspension, delay or failure of the research and development work of the other cooperating parties shall undertake the liabilities for breach of contract as agreed below.

甲方：Party A:

第二十一条：为有效履行本合同，合作各方确定，在本合同有效期内，甲方指定为甲方项目联系人，乙方指定为乙方项目联系人，丙方指定为丙方项目联系人。项目联系人承担以下责任：

Article 21: For the purpose of effective performance hereof, the parties have determined that, during the term of this contract, Party A shall designate as its project contact person, Party B shall designateas its the project contact person and Party C shall designateas its the project contact person. The project contact person shall have the following responsibilities.

一方变更项目联系人的，应当及时并以书面形式通知其他合作各方。未及时通知并影响本合同履行或造成损失的，应承担相应的责任。

The amendment of the contact person for a project should be forthwith in writing notified to the other cooperating parties. Any party, where failure to do so timely, and affect the performance of this contract or cause damage, should undertake the corresponding responsibilities.

第二十二条：合作各方确定，出现下列情形，致使本合同的履行成为不必要或不可能的，可以解除本合同；

Article 22: The parties confirm that this contract may be terminated where the performance of the contract unnecessary or impossible under the following circumstances;
